Privacy Protection and Authorized Information Use:

Our commitment to protecting your privacy is vital. Access to individual customer information within our organization is restricted strictly to authorized personnel on a need-to-know basis. We conduct regular reviews of our systems and data to ensure the best possible service for our clients. Parliament legislates specific crimes for unauthorized actions against computer systems and data. We will investigate any such actions for legal recourse and/or take legal action to compensate for damages against those responsible.

 

Disclaimer, Exceptions, and Limitations:

The information available on this site is provided 'as is.' To the extent permitted by law, our company excludes:

  1. All representations and warranties concerning the system and its content, whether provided by our partners or third parties. This includes any inaccuracies or omissions in this system and/or company literature.
  2. Any liability for damages arising from the use of the software/system we provide, including direct loss, business interruption, or loss of profits (whether foreseeable or not), the damage the system may cause to your computer, computer software, systems, programs, or data on it, and any other indirect damages resulting from it.

However, it should be emphasized that our company does not exclude liability for death or personal injury caused by its negligence. These exceptions and limitations apply only to the extent permitted by law and do not affect the customer's legal rights as a consumer.

 

Service Description:

Just2Pay specializes in designing and developing systems, web applications, software, and mobile applications. Clients should be aware that our services may involve specific exchanges from Just2Pay, such as advertisements, notifications, service announcements, and newsletters. The client is responsible for gaining access to Just2Pay services, which may involve fees from external parties, and is also responsible for all devices and software necessary to access Just2Pay services.

 

Scope of Work:

Clients must understand that the purchase and development of the system/software involve specific parameters, including the number of pages, features, and functions. The plan provided to the client and the project specifications document specify the purchased features, functions, and number of pages. Any request for additional features or functions beyond the agreed scope of work requires additional system enhancements. Additional costs may be imposed for additional work requested by the client outside the purchased scope of work.

 

Project Software/System Integrity:

We believe that code does not rot; it either works or doesn't. We offer the industry's only warranty that assures you that you're covered if anything happens. Our competitors offer warranties for 30 to 90 days, hoping that you'll miss something and there will be additional fees in the future.

This project's warranty is one year from the date of project delivery. The warranty covers software defects and functional flaws but does not include any software changes.

 

Inclusions:

Just2Pay guarantees the integrity of its software code for a lifetime and will rectify any functional or technical defects related to our code. Our code includes HTML, scripting, JavaScript, and the database developed by Just2Pay. Any defects reported must be related to the contracted scope of the project. The warranty ensures that the software meets functional specifications. Any defects (programming errors) reported to Custom Software are rectified without any additional cost to the client. The period starts from the date the software is made available to the client for deployment in the live environment. Maintenance and support agreements are available separately to the client for prioritized response and first-level support for all relevant requests.

 

Limitations:

Just2Pay does not provide any warranty for issues arising from server limitations or changes not covered by the warranty. The warranty does not cover defects related to third-party servers, operating systems, third-party database integrations, web browsers, third-party software (including content management systems, frameworks, and open-source programming libraries), or third-party add-ons. If Just2Pay's code, including any file or HTML, text, or database, is modified by the client or a third party without prior written consent from Just2Pay, the warranty will be considered void. The warranty is also void if there is a need for backup restoration or application rebuild without express written consent from Just2Pay. This warranty does not cover the repair of issues related to new browser versions implemented after the project's commencement or old browser versions no longer supported by the manufacturer. Just2Pay is not responsible for guaranteeing the compatibility of all functions required by the client with all supported browser versions, and there may be additional costs to modify or troubleshoot potential browser issues."

Exceptions:

The warranty right is forfeited if access is gained to the source code of the web application, mobile application, customized software, or if they are modified by any third-party company for any reason. This includes changes made directly to any project files, including but not limited to .html, .HTM, .IS,. PHP,. ASPX, TPL, .SQL, .CSS, .XML, .TXT, .jpg, or .png. Compliance with the warranty will not be maintained if any payments from the client are late or if refunds are made or withdrawn.

 

Software Project Development Process:

With the client's contribution, Just2Pay will develop the contracted project scope for the software project. Before the client can commence work, they must sign a physical or electronic project acceptance agreement to accept these service conditions. The client can provide a design questionnaire to Just2Pay, which will be used to design the system or software customized for the client. It's important to note that the functionality and details of the prototype sites will not be replicated unless explicitly referenced and detailed in Just2Pay's proposal summary and project specification documents. Just2Pay will not be held responsible for the accuracy, spelling errors, or mistakes in any content approved by the client and published on the system. The client will be notified via email when the system is live.

 

Timelines for Completion:

Clients must understand, agree, and acknowledge that Just2Pay does not guarantee the timeline for completing any system or software project in any form. Several factors contribute to this, including the need for design approvals, functionalities, and client involvement. Additionally, continuous client submissions of additional content and modification requests may extend the completion timeframe. Other factors that may affect the project's completion date include, but are not limited to, the complexity of client projects, Just2Pay staff availability, and the client's account status. If the client fails to respond to Just2Pay communications, preventing the commencement or completion of the system/software project, the client remains responsible for all incurred fees, including design purchase price, setup fees, purchased enhancements, and monthly hosting fees from the date of sale. Furthermore, if the client's system/software requires custom programming, functionality, Flash, e-commerce, or database usage, the overall development time will be extended.

 

Express Services:

While Just2Pay does not guarantee the timeline for completing any custom system or software project, they may offer optional express services for a fee. Approval of the express service is subject to Just2Pay's agreement. Clients using the express service must understand that it does not guarantee faster completion of the system/software. The express service fees ensure that Just2Pay will make reasonable efforts to assign designers and programmers to expedite development. The success of using the express service depends on the immediate acceptance by the client of service terms, payment of any applicable fees, content submission via the web portal, and acceptance of any project specification documents prepared by Just2Pay. If the express service is used, an expected completion date may be provided to the client. It's important to note that these estimates apply only to specific project elements, such as databases, Flash, e-commerce, design, and programming, and not necessarily to system elements as a whole. Just2Pay does not guarantee meeting the expected completion date for specific parts of the system/software. If circumstances arise that make it impossible to complete specific parts by the expected date, including the client's failure to provide information promptly, Just2Pay reserves the right to adjust the expected completion date or cancel the express services. In such cases, a portion of the express service fees may be refunded, not exceeding fifty percent (50%) of the express service fees. Regardless of whether work has already been done by the expected date, the client remains responsible to Just2Pay for fees related to system/software development.

 

Client Approval:

Clients bear the responsibility of testing system/software functionalities upon Just2Pay's request for approval and notifying them of project completion. This includes testing all programmed pages, databases, e-commerce stores, payment functions, galleries, forums, and other software functions. The design of the system/software may be published online once completed by Just2Pay and upon receipt of full payment for the design phase from the client. Additional features, such as custom database programming and Flash programming, will be added upon completion. The system/software may be published online within 30 days from the purchase date if Just2Pay needs to complete content and design without input or full content from the client. Clients must respond to Just2Pay's approval request and notification within 5 business days. Failure to respond within this timeframe will automatically indicate approval by the client. If the client does not respond to requests for missing information, a final notice will be sent. If the client does not respond within 5 business days to Just2Pay's announcement or requests for missing information, the system/software, along with its functionalities and provided services, will be considered approved by the client. The system/software with missing information may be published "as is" or as "under construction". Just2Pay reserves the right to operate the site and consider the work complete without the client's permission if the client does not agree to the work.

 

Requests for Scope Changes Before and After System/Software Launch:

Just2Pay commits to building the system/software according to the specifications quoted in the original proposal and project specification document.

 

 Fees will be imposed for any additions or changes requested outside the original scope of sale, either before the custom system launch or after the site launch. Just2Pay is not obliged to complete client requests or changes outside the defined scope of work in the original proposal. Clients must understand that if Just2Pay does not agree to client requests or changes, the client must pay all due fees.

 

Intellectual Property Notice:

Intellectual property rights, including copyrights and related rights, apply to all texts related to the company's services and the entire content of this system.

 

Force Majeure:

Neither party shall be held responsible for the failure to fulfill any obligation under any agreement due to events beyond their control, including but not limited to acts of God, terrorism, wars, political unrest, uprising, riots, civil disturbances, civil or military authority acts, revolution, earthquake, flood, or any natural or human-made event beyond our control. The affected party must promptly notify the other party and make reasonable efforts to comply with the agreement's terms and conditions.

 

Waiver:

The failure of any party to insist upon strict performance of any provision of this agreement or to exercise any right or remedy regarding this agreement shall not constitute a waiver. No waiver of any provisions in this agreement shall be effective unless explicitly stated and signed by both parties.

 

General Terms:

The provided prices are valid for 10 business days from the date mentioned on the homepage. These prices do not include a 14% value-added tax and may only be subject to changes through written agreement. Prices are in Egyptian pounds and do not cover financial transfer fees or Swift fees. Once the down payment is made, there is no refund process. Prices do not include hardware delivery, and required hardware for these projects will be provided by the client. Integration with any entity outside the scope of the offer does not include hosting or domain fees. Domain and hosting fees will be specified in a separate offer if necessary. Clients are required to submit a system/application map/structure within one week from the project start date. Prices do not cover software delivery or licensing, and any required software or license for this project will be sent in a separate offer.

J2P will be considered the owner of the User Account, user platform, or user content for the person or entity with access to the email address listed in J2P records for that account when creating the user platform or user content.

 

For paid services (as specified in section 5 below) purchased through the User Account, J2P will be considered the owner as the person or entity whose billing details were used for the purchase. If the user platform is associated with an external domain, J2P will be considered the owner as the person or entity registered as the owner of that domain in the WHOIS database or J2P database.

 

J2P reserves the right to determine ownership based on its discretion, taking into account the actual situation, including disregarding the evidence mentioned above, if the situation justifies such a decision.

 

Your Responsibilities:

 

You affirm and warrant that:

- You are at least thirteen (13) years old or sixteen (16) years old if you are an individual within the European Union (EU), or have reached the legal age of maturity in your jurisdiction. You have the legal authority, right, and freedom to enter into J2P provisions and form a binding agreement for yourself or on behalf of the person or entity you committed to the J2P provisions.

- You are not a resident in (or will use J2P Services in) a country where the U.S. government has imposed a ban on using J2P Services, and you are not listed in the U.S. Treasury Department's list of specifically designated nationals or any other relevant commercial legislations."

Regarding Your Content:

You affirm ownership of all rights related to any content you have uploaded or submitted. This also includes any content imported, copied, or downloaded by J2P services on your behalf to your own platform ("User Content"). You have full authority, title, licenses, approvals, and necessary power to legally access, import, copy, use, publish, transfer, or license such User Content by you and through us or any of our subsidiaries.

 

You have and will retain full authority, title, licenses, approvals, and power to allow J2P Services to access any websites, pages, and/or other online services to import, copy, display, download, transfer, and/or use your User Content.

 

Your User Content is and will remain true, current, accurate, non-violative of third-party rights, not unlawful for you to upload, import, copy, possess, publish, transfer, and/or license in the country you reside in, your visitors and users of your platform ("End Users"), or for J2P and/or its end-users to access, import, copy, download, use, possess it in relation to J2P Services.

 

You have obtained all necessary consents and permissions under applicable laws regarding the disclosure, transfer, and publishing of any personal information and/or image or likeness of any person or entity or property that is part of your User Content.

 

You commit to:

Full compliance with all applicable laws and contractual terms governing your use of J2P Services (and any related interaction or transaction), including those laws applicable to you or your end-users in any of your geographical sites.

In the context of J2P and yourself, ownership of the intellectual property related to your content remains as with any other materials you create, including designs, images, animations, videos, audio files, fonts, logos, illustrations, configurations, artworks, codes, interfaces, texts, literary works, you own it. J2P does not claim ownership rights to your content. Just2Pay's Intellectual Property:

Limitations on Intellectual Property:

The J2P terms do not grant any rights or interests in J2P's intellectual property, except for the limited license expressly granted. The terms do not constitute a waiver or relinquishment of J2P's intellectual property rights under any law.

 

Additional Licensing Terms:

J2P retains the usage rights for some fonts available within J2P services that are licensed to J2P by a third-party provider, and additional licensing terms from this provider apply.

 

Comments and Suggestions:

Any suggestions, comments, or feedback provided about J2P services become the exclusive property of J2P. By submitting such feedback, you acknowledge that J2P may use it for various purposes, including development, improvement, technical support, promotion, statistical analysis, data security enhancement, and compliance with laws and regulations. You represent that the feedback is accurate and complete and does not violate the rights of third parties. Additionally, you irrevocably waive any rights, titles, or interests you may have in the feedback in favor of J2P and expressly waive any claims related to intellectual property rights or similar rights worldwide.

"Paid Services:

Some J2P services may involve specific fees determined solely by J2P's estimation (hereafter referred to as 'Paid Services' and 'Fees' respectively). J2P will notify you of the applicable fees for such Paid Services. To access or use Paid Services, you must prepay all applicable fees.

J2P reserves the right to modify its fees at its discretion, providing notice if these changes affect current subscriptions. If you've benefited from a discount or promotional offer, J2P may automatically renew your subscription to such service(s) at the full applicable fees without prior notice.

All fees are in Egyptian pounds unless explicitly stated otherwise in writing by J2P. Unless otherwise specified in writing by J2P, all fees are exclusive of taxes. You're responsible for paying all relevant taxes associated with your use of J2P services. If J2P is required to collect or pay taxes on the fees you're required to pay, those taxes may be added to the due fees and appear on the transaction invoice.

Upon registering for Paid Services, you authorize J2P to request and collect fees and service charges from your payment account. J2P may also conduct necessary inquiries to verify your payment account or financial information to ensure timely payment. It's your responsibility to maintain a stored credit card with J2P for payment purposes ('Stored Card').

Note: J2P is not responsible for additional fees imposed by third parties (e.g., international transaction fees, currency conversion fees) related to Paid Services or their renewals. Independently verify the existence of such fees.

 

Invoices:

Just2Pay and its subsidiaries will issue an invoice or credit notice for any fee payment or refund related to J2P services ('Invoice'). These invoices will be provided electronically based on the country in your billing address and can be accessed through your user account or email. You may need to provide certain personal information according to the privacy policy to comply with local laws for issuing the invoice. Please note that the invoice in your user account may be valid for representation purposes only if it doesn't comply with local legal requirements.

 

Automatic Renewal of Subscriptions:

Some Paid Services come with an automatic renewal option to avoid service interruption. Unless you disable automatic renewal, these services will automatically renew at the end of the subscription period, at the same duration and price, unless notified otherwise. J2P will attempt to collect the applicable fees using the stored card up to two weeks before the renewal period. If fee collection fails, J2P may retry, suspend, or cancel the user account at its discretion. For annual or multi-year subscriptions, J2P aims to notify you at least thirty days before the service renewal.

By agreeing to this, you acknowledge and accept the automatic renewal of Paid Services. You can disable automatic renewal for renewing services at any time through your user account or J2P's help center.

Different renewal policies may apply to domains, as outlined in the domain registration agreement. You're solely responsible for ensuring the successful renewal of J2P services, even if not subject to automatic renewal. You have no claims against J2P due to service discontinuation, for any reason."

 

"Money-Back Guarantee:

If you're dissatisfied with a J2P service that requires fees within fourteen days of the initial purchase, you can cancel the service and get a full refund (the 'Refund Period'). This applies to the initial purchase of J2P services, such as upgrading a free website to a premium plan. Refunds do not cover additional purchases, upgrades, modifications, or renewals. After the Refund Period, fees are non-refundable. If a cancellation notice is deemed invalid, J2P reserves the right to impose fees for the received services. Some services, like third-party services, may not be refundable, and details are available on the J2P site during the purchase. Check cancellation options before purchasing. J2P will not refund any non-refundable amounts for Paid Services, apps, or third-party services.

 

Refunds:

In case of rejection, return, or refusal of due fees on your J2P account, it's considered a breach of your payment obligations and may result in automatic suspension or termination of your use of J2P services.

If a refund occurs, your user account may be banned without the possibility of repurchase or reuse, and the included data, including domains, apps, and third-party services, may be subject to cancellation due to loss of capability (as identified in Section 6.3 below).

To resume using J2P services, you must resubscribe, pay all due fees in full, and cover any fees or expenses incurred by J2P and/or third-party services as a result of the refund (including fees due for J2P services provided before the refund and payment processing fees by the payment processor).

For payment-related inquiries, we recommend contacting our customer support team before initiating a refund. This prevents service cancellation, user account banning, potential liability for due fees, in addition to the obligation to repay all fees related to J2P services subject to refund.

We reserve the right to dispute any refund by providing relevant information and documentation proving the responsible user's authorization for the transaction and subsequent service use.
